Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Task Genius Desktop Application ("the Application" or "Task Genius Desktop"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not download, install, or use the Application.

2. License Grant

2.1 Proprietary Software

Task Genius Desktop is proprietary software and is not open source. All rights, title, and interest in and to the Application remain with Boninall.

2.2 Limited License

Subject to these Terms, you are granted a personal, non-exclusive, non-transferable, revocable license to:

• Download and install the Application on devices you own or control
• Use the Application for personal or internal business task management
• Access and use features included in your license tier (free or paid)

2.3 Restrictions

You may not:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application
• Modify, adapt, translate, or create derivative works based on the Application
• Sell, rent, lease, distribute, or sublicense the Application
• Remove, alter, or obscure any proprietary notices in the Application
• Use the Application for any illegal or unauthorized purpose
• Circumvent any technical limitations or access controls in the Application

3. Application Features and Services

3.1 Core Features

The Application provides:

• Local-first task management
• File system integration
• Customizable views and workflows
• Optional AI integration (with your consent)
• Automatic update checks

3.2 Optional Services

AI Services

• You may choose to use AI features by providing your own API keys or subscribing to Task Genius-provided AI services
• AI features are subject to availability and may be modified or discontinued
• Your use of third-party AI services (OpenAI, Anthropic, etc.) is subject to their respective terms of service

Future Cloud Services (Optional)

When available, optional cloud services may include:

• End-to-end encrypted cloud synchronization
• Team collaboration features
• Cloud backup and restore

These services will require:

• Account creation and authentication
• Acceptance of additional terms specific to cloud services
• A paid subscription (pricing to be determined)

4. User Accounts (Future)

4.1 Account Creation

When cloud services launch, you may need to create an account to access them:

• You must provide accurate and complete information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized use of your account

4.2 Account Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your subscription payment fails or is reversed
• You request account deletion

5. Payments and Subscriptions (Future)

5.1 Free Tier

The core Application is provided free of charge with access to essential features.

5.2 Paid Subscriptions

Optional paid subscriptions may be offered for:

• Cloud synchronization and team features
• AI service credits
• Premium features

5.3 Billing Terms

• Subscriptions are billed in advance on a recurring basis (monthly, annually, etc.)
• All fees are non-refundable except as required by law
• We reserve the right to change subscription pricing with 30 days' notice
• Failure to pay may result in suspension or termination of services

5.4 Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• You retain access to paid features until the end of the paid period

6. Data and Privacy

6.1 Local Data

• All application data is stored locally on your device by default
• You are responsible for backing up your data
• We are not responsible for any data loss

6.2 Cloud Data (Future)

If you opt into cloud services:

• Your data will be encrypted end-to-end before transmission
• Server data is stored in the United States
• Data will be retained for the duration of your subscription
• Upon subscription expiration, data will be deleted within 30 days
• You can request immediate data deletion at any time

6.3 Privacy Policy

Your use of the Application is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Updates and Maintenance

7.1 Automatic Updates

• The Application may automatically check for updates from GitHub
• You can disable automatic updates in settings
• We recommend installing updates for security and functionality improvements

7.2 Mandatory Updates

We reserve the right to require updates for:

• Critical security patches
• Compatibility with cloud services (if applicable)
• Compliance with legal requirements

7.3 Beta Features

• We may offer beta or experimental features
• Beta features are provided "as is" with no guarantees of stability
• Beta features may be modified or removed at any time

8. User Responsibilities

8.1 Lawful Use

You agree to use the Application only for lawful purposes and in accordance with these Terms and all applicable laws.

8.2 Content

You are solely responsible for:

• The content of your tasks, notes, and data
• Ensuring you have the right to store and process any data in the Application
• Complying with data protection laws applicable to your data

8.3 Security

You must:

• Protect your device and account credentials
• Use strong passwords for account access (when applicable)
• Not share your account with others
• Immediately report any security breaches

9. Intellectual Property

9.1 Ownership

The Application, including all code, design, graphics, documentation, and other materials, is the exclusive property of Boninall and is protected by copyright, trademark, and other intellectual property laws.

9.2 Trademarks

"Task Genius" and related logos are trademarks of Boninall. You may not use these trademarks without prior written permission.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Application:

• You grant us a perpetual, worldwide, royalty-free license to use and incorporate such feedback
• We are not obligated to implement any feedback
• You waive any right to compensation for feedback

You agree to indemnify, defend, and hold harmless Boninall and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Application
• Your violation of these Terms
• Your violation of any law or third-party rights
• Any content you store or process using the Application
• Any breach of your representations and warranties

13. Third-Party Services and Content

13.1 Third-Party AI Services

If you use AI features with third-party services:

• Those services are subject to their own terms and privacy policies
• We are not responsible for third-party services' performance, availability, or data handling
• You are responsible for any costs incurred with third-party providers

13.2 Third-Party Libraries

The Application may include or depend on third-party software libraries, which are subject to their own licenses.

14. Export Compliance

You agree to comply with all export and import laws and regulations. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.

15. Termination

15.1 Termination by You

You may stop using the Application at any time by uninstalling it and deleting your account (if applicable).

15.2 Termination by Us

We may suspend or terminate your access to the Application immediately if:

• You breach these Terms
• We are required to do so by law
• We discontinue the Application or specific features
• You engage in fraudulent, illegal, or harmful activity

15.3 Effect of Termination

Upon termination:

• Your license to use the Application ends immediately
• You must uninstall the Application and cease all use
• Any outstanding payment obligations remain due
• Cloud data (if applicable) will be deleted within 30 days
• Provisions that by their nature should survive (disclaimers, limitations of liability, etc.) will continue to apply

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any formal proceeding, you agree to contact us at [email protected] to attempt to resolve the dispute informally.

16.2 Governing Law

These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles.

16.3 Jurisdiction

Any disputes arising from these Terms or your use of the Application shall be subject to the exclusive jurisdiction of the courts of the People's Republic of China.

17. Modifications to Terms

17.1 Changes

We reserve the right to modify these Terms at any time. Changes will be effective:

• Immediately for new users
• 30 days after posting for existing users

17.2 Notification

We will notify you of material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Displaying a notice in the Application
• Sending an email (if you have an account)

17.3 Acceptance

Your continued use of the Application after changes are posted constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Application.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and Boninall regarding the Application.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

18.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Boninall.
